Synerlogic Standard Coaching Agreement

This Agreement is entered into by and between Synerlogic, LLC, 2929 N Power Rd, Mesa, Arizona 85215, and each client who engages Synerlogic to provide coaching services (“Client”).

By purchasing a coaching package, participating in the Synerlogic360™ Cohort Experience, enrolling in the self-guided course, or engaging in coaching sessions, the Client agrees to the terms and conditions outlined in this Agreement.

1. Services Provided
Synerlogic provides personalized leadership coaching, group cohort experiences, self-guided learning resources, and related services designed to empower clients to achieve their professional and personal goals.

The Client may engage in one or more of the following services:

  • Coaching Sessions: Individual coaching sessions tailored to the Client’s goals, challenges, and leadership context.
  • Synerlogic360™ Leadership Assessment: Includes a personalized feedback report and workbook to inform the Client’s development process.
  • Cohort Experience: A structured program involving group sessions, peer collaboration, and facilitated learning to foster leadership growth.
  • Self-Guided Course: Access to online resources, including videos, written materials, and interactive exercises designed to enhance leadership capabilities.
  • Additional Services: Other services, such as workshops, assessments, or consulting, as may be agreed upon separately.

Details of each service, including session length, content, and deliverables, will be provided in advance and are tailored to meet the Client’s objectives.

2. Coaching Relationship
Synerlogic coaching is a collaborative process that fosters self-reflection, dialogue, and strategy development to support the Client in achieving their goals.

  • The Coach’s role is to facilitate the Client’s exploration of opportunities and challenges, provide actionable insights, and guide the development of strategies for sustained growth.
  • The Client is responsible for implementing actions and decisions arising from the coaching relationship, including identifying areas for focus and committing to their own development.

Coaching does not include legal, financial, or mental health advice. While Synerlogic’s CEO, Randy Evans, is a licensed attorney, and some coaches may hold other professional certifications, coaching sessions do not create an attorney-client relationship or other professional-client relationship. Coaching sessions are not protected by attorney-client privilege or subject to other professional standards or rules.

3. Confidentiality
All information shared by the Client during coaching sessions will be treated as confidential, with the following exceptions:

  • When disclosure is required by law or court order.
  • When the Coach believes there is an imminent risk of harm to the Client or others.
  • When information is shared in a group setting, such as during the Cohort Experience, where participants agree to maintain confidentiality but Synerlogic cannot guarantee it.
    The Coach may share anonymized, hypothetical examples in training, mentoring, or professional development contexts to illustrate best practices.

4. Cohort Experience
The Cohort Experience provides an opportunity for group learning and collaboration.

  • Participants are expected to attend scheduled live sessions, complete any required pre-work, and engage respectfully in discussions.
  • Cohort sessions may be recorded, and access to recordings will be provided solely for participant review.
  • All materials, including recordings, are proprietary and must not be shared, distributed, or reproduced without Synerlogic’s written consent.

5. Self-Guided Course
Enrollment in the Self-Guided Course includes access to videos, written materials, and exercises.

  • Access is granted for a specified period, as outlined during enrollment.
  • Materials are for personal use only and may not be shared or distributed.
  • The course is not a substitute for coaching; coaching sessions may be purchased separately for additional support.

6. Scheduling and Cancellation Policy
All sessions are scheduled in advance at mutually agreed-upon times.

  • The Client must provide at least 24 hours’ notice for cancellations or rescheduling. Sessions canceled with less than 24 hours’ notice may be forfeited or billed at the full rate.
  • Synerlogic reserves the right to reschedule sessions due to unforeseen circumstances.

7. Termination and Refund Policy
Coaching packages and cohort experiences are non-refundable, except in cases where Synerlogic cancels services and cannot reschedule or make alternative arrangements.

  • Either party may terminate this Agreement with written notice. The Client will be responsible for all services rendered through the termination date.

8. Intellectual Property Rights
All materials, tools, and resources provided by Synerlogic, including the Synerlogic360™ Assessment, feedback report, cohort materials, and self-guided course content, remain the exclusive property of Synerlogic unless otherwise agreed in writing.

  • Clients are granted a limited, non-transferable license to use these materials for personal development. Materials may not be reproduced, shared, or distributed without Synerlogic’s prior written consent.

9. Limitation of Liability
Synerlogic makes no guarantees regarding specific outcomes resulting from coaching, assessments, or other services. The Client acknowledges that results depend on their engagement, actions, and implementation of insights. Synerlogic’s liability, if any, shall not exceed the amount paid by the Client for services rendered under this Agreement.

10. Dispute Resolution
In the event of a dispute, the parties agree to attempt mediation in good faith for up to 30 days. If mediation fails, disputes will be resolved under the laws of the State of Arizona.

11. General Provisions

  • This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements.
  • Amendments must be made in writing and signed by both parties.
  • If any provision of this Agreement is deemed unenforceable, the remaining provisions will remain in effect.

12. Relationship to Synerlogic Terms & Conditions
This Agreement is specific to the coaching services provided by Synerlogic. The general Terms & Conditions available on the Synerlogic website (accessible at https://synerlogic.net/terms-and-conditions) apply to all Synerlogic services, including coaching, assessments, and cohort experiences.

Provisions in the general Terms & Conditions regarding intellectual property, confidentiality, limitations of liability, and other relevant matters are incorporated herein by reference and apply to this Agreement. In the event of a conflict between this Agreement and the general Terms & Conditions, the terms of this Agreement shall govern the coaching relationship.

By purchasing a coaching package or participating in Synerlogic services, the Client acknowledges and agrees to the terms outlined in this Agreement.
